NOTICE OF ANNUAL GENERAL MEETING OF THE MEMBERS OF ONTARIO LIBRARY ASSOCIATION (the “Corporation”)
NOTICE is hereby given that an annual general meeting of the members of ONTARIO LIBRARY ASSOCIATION (the “Corporation”) will be held virtually at 4:30 p.m. (EST) on the 29th day of February, 2024 via Zoom to do the following:
(a) to ratify all acts, by-laws and proceedings of the directors and officers since the last annual general meeting of members;
(b) receive the financial statements of the Corporation for the fiscal period ending the 31st day of August, 2023 and the report of the auditors thereon;
(c) appoint Hilborn Inc. as the Corporation’s auditors to hold office until the close of the next annual general meeting of members, and authorize the directors to fix the remuneration of the auditor for such period;
(d) elect directors of the Corporation, as required in accordance with the provisions of the Corporation’s by-laws;
(e) to approve Articles of Amendment to bring the Corporation into compliance with the provisions of the Not-for-Profit Corporations Act, 2010 (Ontario) (“ONCA”) by resolution in the agenda;
(f) to approve General Operating By-law to bring the Corporation into compliance with the provisions of the ONCA by resolution in the form attached; and
(g) transact such further and other business as may properly be brought before the meeting or any adjournment thereof.
Members are entitled to vote at the meeting either in person or by proxy. Members who are unable to be present at the meeting are requested to complete the Proxy application no later than 48 hours before the meeting.
